Taksym Standard Music License

Parties and definitions

Licensor:Tufan Akarirmak, trading as Taksym (taksym.com), or its assignee under Section 10.1 ("Taksym"). Licensee: the person or company named on the licence certificate. Track:the recording identified on the certificate, including the delivered full-length master and the 30-second and 15-second edits (together, the "Deliverables"). The licence is effective when Taksym has received the fee and issued the certificate.

1. Grant

Taksym grants Licensee a non-exclusive, worldwide, perpetual, royalty-free licence to synchronize the Track with visual or audio-visual content, and to reproduce, communicate and make available the Track as embedded in the Licensee's end product("End Product"), within the scope of the purchased tier.

• Creator tier: one End Product or one named channel/show. Online distribution: video platforms, social media, podcasts, websites and newsletters, including monetised channels.
• Commercial tier:everything in Creator, plus paid advertising and brand campaigns, product and corporate video, in-app and in-game use, and background use in the Licensee's own premises. The certificate names the Licensee company.
• Broadcast television, cinema and theatrical distribution are not covered by either tier and require a separate written agreement.

2. Restrictions

Licensee must not:

• distribute, sell, sublicense or make the Track available as music (standalone or in a library, sample pack or stock catalog), including uploading it to music streaming services as a release;
• register the Track, or content whose only audio is the Track, in any content-identification system (for example YouTube Content ID) or with any collecting society;
• use the Track or Deliverables to train, fine-tune or evaluate any machine-learning model;
• claim authorship of the Track, or use the Taksym or artist names to imply endorsement of the End Product;
• synchronize the Track with content that is unlawful, defamatory, or hateful;
• modify the Track other than editing for length, fading, or volume within the End Product.

3. Warranties by Taksym

Taksym warrants that, as of delivery:

• Taksym owns or controls all rights in the Track, in both the sound recording and the underlying musical work, and has the full right to grant this licence;
• the Track is an original, first-party production: it was generated by Taksym on Google's enterprise AI infrastructure and contains no third-party samples, loops, stems or interpolations;
• the Track was created without referencing the name, voice or likeness of any identifiable real artist, under Taksym's documented no-imitation process;
• the Track carries Google's SynthID inaudible provenance watermark, and Taksym maintains a generation record for it.

Except as stated above, the Deliverables are provided "as is", and Taksym disclaims all other warranties to the maximum extent permitted by law. Taksym does not warrant that purely AI-generated works are protected by copyright in any particular jurisdiction; the value of this licence is the cleared, warranted right to use, not a transfer of copyright.

4. Remedies, liability cap, and indemnity

If a third party asserts that the Track as delivered infringes their intellectual-property rights, Taksym will, at its option and expense: (i) replace the Track with a materially equivalent cleared track, or (ii) refund the fee, and will indemnify Licensee against amounts finally awarded against Licensee for such a claim up to the total fees paidunder this licence. The indemnity does not apply to claims arising from Licensee's modifications, combination of the Track with other content where the claim would not exist but for the combination, use outside the licensed scope, or Licensee's own conduct. Total aggregate liability of each party is capped at the fees paid; neither party is liable for indirect, incidental or consequential damages. Nothing excludes liability that cannot lawfully be excluded.

5. AI disclosure

The Track is AI-generated and is disclosed as such by Taksym. Some platforms and jurisdictions require the Licensee to disclose AI-generated content in the End Product; complying with those disclosure duties is the Licensee's responsibility. Taksym provides the provenance facts needed to answer them.

6. Term and termination

This licence is perpetual for the licensed scope. It terminates automatically if Licensee materially breaches Section 2 and does not cure within 14 days of notice. Sections 3 to 10 survive termination; End Products lawfully published before termination may remain published.

7. Delivery

Deliverables are provided as download links (320 kbps MP3 master plus the 30s/15s edits; other formats on request). Licensee is responsible for keeping copies; Taksym will re-supply on reasonable request.

8. Certificate

Each purchase is evidenced by a licence certificate issued by Taksym stating the parametric details. The certificate plus this text form the complete licence. In case of conflict, the certificate controls.

9. Payment processing

Fees may be collected by a merchant of record acting as reseller of the licence on Taksym's behalf; the licence itself is granted by Taksym under this text regardless of the payment channel.

10. General

10.1 Assignment.Taksym may assign this licence, and the catalog it covers, to a legal entity that continues the Taksym business; the assignment does not reduce Licensee's rights. Licensee may assign only with the End Product, with notice to Taksym. 10.2 This is the entire agreement for the Track; it can be amended only in writing. If a clause is unenforceable, the rest stands. 10.3 Governing law and venue: the laws of the Republic of Türkiye; courts of İstanbul, Türkiye. Both parties will attempt good-faith resolution by email before any proceeding.
